Terms of Service

These terms cover account use, billing, records integrations, emergency sharing, and the limits of the service.

These Terms of Service ("Terms") are a legal agreement between you and Hardware Hub Consulting, LLC ("Talo 360," "we," "us," or "our") and govern your access to and use of https://talo360.app, our apps, native mobile experiences, and related services (together, the "Service").

By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Acceptance of the Terms

You agree to these Terms on your own behalf, or on behalf of another person for whom you are legally authorized to act, such as a dependent or family member. If you are using the Service for another person, you represent that you have the authority to do so and to provide information, make decisions, and manage connections or sharing settings for that person.

Your use of the Service may also be subject to our Privacy Policy and any additional terms presented to you for specific features, integrations, or purchases.

Eligibility and Account Registration

You must be at least the age of majority in your place of residence, or otherwise legally authorized to enter into these Terms, to use the Service on your own behalf. The Service is not intended for children acting independently on their own behalf.

To use certain features, you must create an account. You may register and sign in using Apple, Google, or email/password, subject to any additional authentication or verification steps we require for security. You agree to provide accurate, current, and complete registration information and to keep it updated.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must promptly notify us at security@talo360.app if you believe your account, credentials, or device has been lost, stolen, compromised, or used without authorization. We may rely on the credentials and authentication methods associated with your account to determine whether a request came from you. We are not responsible for losses caused by your failure to safeguard your account, passwords, devices, backup codes, or other security credentials.

Description of the Service

Talo 360 is a consumer health app designed to help users organize personal health and wellness information. Depending on the features you use, the Service may allow you to:

  • create and manage an account
  • store profile and onboarding information such as display name, sex, height, weight, emergency information, blood type, allergies, conditions, and medications
  • connect health and wellness data sources such as Apple Health / HealthKit, Android Health Connect, and Dexcom
  • import health records from healthcare provider systems through patient-authorized EHR or SMART on FHIR integrations
  • manage billing, subscriptions, and one-time purchases
  • submit feedback and support requests
  • use voice, device, and native app features
  • create public emergency / ICE sharing links

The Service is privacy-forward, but no service can be guaranteed to be uninterrupted, error-free, or perfectly secure.

Important Medical Disclaimer

The Service is provided for informational, organizational, and personal tracking purposes only.

Talo 360 does not provide medical advice, diagnosis, or treatment. The Service is not a doctor, nurse, hospital, pharmacy, insurer, laboratory, or emergency responder. The Service is not a substitute for professional medical judgment, evaluation, or care.

You should not rely on the Service as the sole basis for medical decisions. Always seek the advice of a qualified healthcare professional regarding questions about your health, medications, records, symptoms, or treatment.

The Service is not for emergencies. If you think you or someone else may be having a medical emergency, call 911 or your local emergency services immediately.

User Health Data and Records

You are responsible for the information you enter into the Service and for your decisions about how to use, interpret, store, share, or act on that information.

If you connect outside data sources or authorize record imports, the Service may display information received from third parties, including device platforms, glucose monitoring services, healthcare providers, EHR systems, or interoperability services. That information may be incomplete, outdated, delayed, duplicated, incorrectly mapped, temporarily unavailable, or removed by the source.

Talo 360 does not guarantee that imported or synced data is accurate, complete, continuously available, or fit for any medical, insurance, employment, legal, or eligibility purpose. You are responsible for verifying important information with the original source or a qualified professional.

Connected Integrations and Third-Party Services

The Service may interoperate with third-party products and services, including Apple, Google, Dexcom, Stripe, and provider or EHR systems. Those third parties may have their own terms, privacy policies, technical requirements, and availability limitations.

Your use of third-party integrations may require separate accounts, permissions, authorizations, or agreements with those providers. We are not responsible for third-party products or services, including their availability, accuracy, security, content, outages, policy changes, pricing, or data practices.

Integration availability may change at any time. We may add, remove, suspend, or limit integrations without liability to you. You control whether to connect or disconnect supported integrations, but disconnecting an integration may not remove data already imported into the Service.

Emergency / ICE Sharing Links

The Service may allow you to create public emergency or ICE sharing links. These links are optional and user-controlled.

If you create and share an ICE link, anyone with the link may be able to view the emergency information made available through that link until the link is revoked or expires. You are responsible for deciding whether to create a link, what information to make available through the Service, and with whom to share the link.

Talo 360 is not responsible for how third parties use or further share information accessed through a link that you created or disclosed. ICE sharing is a convenience feature only and is not an emergency response service, monitoring service, or guarantee that help will reach you.

Billing, Subscriptions, Renewals, and Refunds

Some parts of the Service may require payment, including subscriptions and one-time purchases. By making a purchase, you authorize us and our payment processors, including Stripe, Apple, or other applicable payment providers, to charge the applicable amount, taxes, and any other disclosed fees using your selected payment method.

Subscriptions may renew automatically unless canceled before the applicable renewal date, depending on the plan you choose and the billing terms presented at checkout. You are responsible for canceling before renewal if you do not want a subscription to renew.

Purchases made through Stripe or our website are managed through our billing flow or Stripe-hosted billing tools where available. Purchases made through Apple's App Store or In-App Purchase are managed through your Apple account and are also subject to Apple's terms, refund rules, and subscription management flows.

You are responsible for keeping your payment method current and valid. If a payment fails, we may suspend or limit paid features until payment is completed.

We may offer one-time purchases, including feature unlocks or sync credits. Unless otherwise stated at checkout, one-time purchases are for the specific feature described at the time of purchase and do not create an ongoing subscription.

Payments are non-refundable except where required by law or where we expressly state otherwise at checkout. Canceling a subscription stops future renewals but does not automatically refund charges already paid. We may consider refunds, credits, or billing adjustments at our discretion.

We may change pricing, plans, or packaging prospectively. Any pricing changes for recurring plans will apply after reasonable notice and no earlier than the next renewal period, unless otherwise permitted by law.

Acceptable Use

You may use the Service only in compliance with these Terms and applicable law. You may not:

  • use the Service for unlawful, fraudulent, deceptive, or misleading purposes
  • impersonate another person or misrepresent your authority to act for someone else
  • attempt to gain unauthorized access to any account, system, data, or network
  • interfere with the operation, integrity, or security of the Service
  • reverse engineer, scrape, copy, or exploit the Service except as allowed by law
  • upload malicious code, spam, or harmful content
  • use the Service to harass, abuse, or harm others
  • use the Service in a way that could create safety risks, including relying on it as emergency or medical decision infrastructure
  • create or share ICE links in a misleading, abusive, or unauthorized way
  • use the Service to violate another person's privacy, confidentiality, or legal rights

We may investigate suspected misuse and suspend or terminate access if we believe a violation has occurred.

User Content and Feedback

As between you and Talo 360, you retain ownership of the information and content you submit to the Service, including health entries, notes, profile information, uploaded content, and other materials you provide ("User Content").

You grant us a limited, non-exclusive, worldwide, revocable license to host, store, reproduce, process, transmit, display, and otherwise use your User Content as reasonably necessary to operate, maintain, secure, improve, and provide the Service to you and as otherwise described in our Privacy Policy.

You represent that you have the rights and permissions needed to provide User Content to the Service and to authorize us to use it as described in these Terms.

If you provide feedback, suggestions, ideas, bug reports, or feature requests, you agree that we may use them without restriction or compensation to you, and without any obligation to credit you.

Intellectual Property

The Service, including its software, design, branding, text, graphics, interfaces, and other content other than User Content, is owned by or licensed to Hardware Hub Consulting, LLC and is protected by intellectual property and other laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for its intended personal or internal use. No other rights are granted.

Suspension and Termination

You may stop using the Service at any time. We may suspend, restrict, or terminate your access to all or part of the Service if:

  • you violate these Terms
  • we reasonably suspect fraud, abuse, unauthorized access, or security risk
  • required by law, regulation, court order, or third-party provider requirement
  • we discontinue the Service or a material feature

Termination or suspension does not limit any rights or remedies available to us. Sections that by their nature should survive termination will survive, including sections relating to payments owed, disclaimers, limitations of liability, indemnification, disputes, and intellectual property.

Disclaimers of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, HARDWARE HUB CONSULTING, LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, ACCURATE, COMPLETE, OR AVAILABLE AT ANY PARTICULAR TIME.

WITHOUT LIMITING THE ABOVE, WE DO NOT WARRANT THAT HEALTH OR RECORDS DATA ENTERED BY YOU OR RECEIVED FROM THIRD PARTIES WILL BE ACCURATE, COMPLETE, TIMELY, OR SUITABLE FOR MEDICAL OR EMERGENCY USE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HARDWARE HUB CONSULTING, LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS INTERRUPTION, OR HEALTH-RELATED OR PERSONAL DECISIONS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) USD $100.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless Hardware Hub Consulting, LLC, its affiliates, and its respective officers, directors, employees, contractors, licensors, and service providers from and against claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • your use of the Service
  • your User Content
  • your violation of these Terms
  • your violation of any law or another person's rights
  • your use or sharing of emergency / ICE links
  • your use of the Service on behalf of another person without proper authority

Changes to the Service

We may modify, suspend, or discontinue any part of the Service at any time, including features, integrations, pricing, account types, sync capabilities, or availability. We are not obligated to continue supporting any particular feature or third-party integration.

Changes to the Terms

We may update these Terms from time to time. If we do, we will post the updated version and update the "Last Updated" date above. If a change is material, we may provide additional notice through the Service or by other reasonable means. Your continued use of the Service after the updated Terms take effect means you accept the revised Terms.

Governing Law and Venue

These Terms are governed by the laws of the State of Georgia, without regard to conflict of laws principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be brought in the state or federal courts located in Georgia, unless applicable law requires another forum. You and Hardware Hub Consulting, LLC consent to the personal jurisdiction and venue of those courts.

Nothing in these Terms limits either party's right to seek temporary or preliminary injunctive relief in a court of competent jurisdiction where necessary to protect rights, property, security, or confidential information.
